Please read these terms carefully before engaging our services. They form a binding legal agreement between you and Extranet Digital.
By accessing this website, submitting an inquiry, signing a proposal, or engaging Extranet Digital's services, you ("Client") agree to be legally bound by these Terms and Conditions. If you do not agree to these terms, do not use our website or engage our services.
These Terms, together with any signed Service Agreement, Proposal, or Statement of Work, constitute the entire agreement between Extranet Digital and the Client.
π These terms apply to all services provided by Extranet Digital including digital marketing, social media management, PPC advertising, SEO, website development, graphic design, offline branding, and WhatsApp CRM services.
Extranet Digital provides digital marketing, branding, and related creative services. The specific scope, deliverables, timelines, and fees for each engagement are defined in individually issued Proposals or Statements of Work (SOWs).
Where services involve third-party platforms (Google Ads, Meta Ads, WhatsApp Business API, etc.), their respective Terms of Service apply. Extranet Digital is not responsible for changes, suspensions, or policy updates made by these platforms that affect service delivery.
The Client agrees to fulfill the following obligations to enable effective service delivery:
Delays caused by the Client's failure to provide approvals, materials, or access on time may result in revised timelines and will not be considered a breach of contract by Extranet Digital.
Service fees are agreed upon in advance and outlined in the Project Proposal or Service Agreement. Fees may be structured as:
All fees are exclusive of applicable GST (Goods and Services Tax) as per Indian tax law. GST at the prevailing rate will be added to all invoices.
β οΈ Due to the nature of digital marketing and creative services, refunds are generally not available once work has commenced.
Exceptions may be considered on a case-by-case basis where Extranet Digital has materially failed to deliver agreed services. Any refund will be limited to fees paid for the specific undelivered service.
The Client retains ownership of all brand assets, logos, content, and materials they provide to Extranet Digital. The Client grants us a limited license to use these materials solely for the purpose of delivering the agreed services.
Upon receipt of full payment, ownership of all final deliverables (designs, copy, creative assets) created specifically for the Client transfers to the Client. Extranet Digital retains:
Where stock images, fonts, or third-party assets are used in deliverables, their respective licenses apply. Extranet Digital will use commercially licensed assets but is not responsible for Client's subsequent unauthorized use of these assets beyond the agreed project scope.
Both parties agree to maintain the confidentiality of each other's proprietary information, business strategies, pricing, campaign data, and client lists. Neither party will disclose confidential information to third parties without prior written consent, except as required by law.
This confidentiality obligation survives termination of the engagement for a period of 3 years.
Extranet Digital provides services with reasonable care and skill, but cannot guarantee specific results (such as specific rankings, leads, sales, or ROAS) due to the variable nature of digital marketing and external market conditions.
The Client may terminate ongoing services by providing 30 days written notice via email to info@extranetdigital.com. All outstanding fees for work completed up to the termination date remain payable.
Extranet Digital reserves the right to terminate services immediately and without notice if:
Upon termination, each party will return or destroy the other's confidential materials. Extranet Digital will provide an orderly handover of campaign access and data within 10 business days of termination, once all outstanding dues are cleared.
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
Extranet Digital reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with the updated effective date. Continued use of our services after any changes constitutes acceptance of the revised terms.
Material changes affecting active service agreements will be communicated to clients directly via email with at least 14 days notice.
